1. Acceptance of Terms

By accessing or using the Solid Stax website (“Site”) and purchasing hardware or services from us, you agree to be bound by these Terms & Conditions. If you do not agree to all of the terms and conditions contained herein, you may not access the Site or utilize our procurement services. These terms apply to all visitors, users, and corporate entities accessing the site.

2. Order Acceptance and Cancellation

Your receipt of an electronic order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Solid Stax reserves the right at any time after receipt of your order to accept, decline, or limit your order for any reason, including, but not limited to, lack of availability from our distribution partners or manufacturers.

3. Pricing and Typographical Errors

In the event a product is listed at an incorrect price or with incorrect specifications due to a typographical error or error in pricing information received from our suppliers, Solid Stax reserves the right to refuse or cancel any orders placed for the product listed at the incorrect price. We reserve the right to cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Solid Stax will immediately issue a full credit to your credit card account.

4. Warranty Disclaimer

Solid Stax is a Value-Added Reseller (VAR), not a manufacturer. All products sold by Solid Stax are subject solely to the warranties provided by the original manufacturer or publisher. We pass through all manufacturer warranties to you to the fullest extent permitted by law.

SOLID STAX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE HARDWARE WILL MEET YOUR SPECIFIC OPERATIONAL REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

5. Limitation of Liability

Enterprise IT infrastructure is inherently complex. Under no circumstances shall Solid Stax, its directors, employees, or distribution partners be liable for any direct, indirect, special, incidental, punitive, or consequential damages that result from the use of, or the inability to use, the hardware sold on this site.

This includes, but is not limited to, damages arising from network downtime, loss of data, loss of revenue, or business interruption, even if Solid Stax has been advised of the possibility of such damages. In no event shall Solid Stax’s total liability to you for all damages and losses exceed the amount paid by you to Solid Stax for the specific hardware in question.

6. Account Security

If you utilize a user account on this Site, you are responsible for maintaining the confidentiality of your account password and for restricting access to your computer or network. You agree to accept responsibility for all activities that occur under your corporate account or password.

7. Governing Law

These Terms & Conditions and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts located in Ontario, Canada.

8. Changes to Terms

Solid Stax reserves the right, at our sole discretion, to update, change, or replace any part of these Terms & Conditions by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website following the posting of any changes constitutes acceptance of those changes.
